Terms of Service

1. Who we are
Tracido ("Tracido", "we", "us", "our") is a business registered in Ontario, Canada.

2. Agreement to these terms
By creating an account, accessing, or using Tracido (the "Service"), you agree to these Terms of Service (the "Terms"), together with our Privacy Policy and Refund Policy.
If you do not agree, do not use the Service.
If you are using the Service on behalf of a business or other organization, you confirm you have authority to bind that organization, and "you" means that organization.
3. What the Service does
Tracido is a self-serve greenhouse gas (GHG) reporting tool for small and medium-sized businesses. The Service allows you to:
- upload utility bills and similar documents;
- have consumption data extracted from those documents with the assistance of automated tools, including artificial intelligence;
- review, correct, and confirm the extracted data;
- generate a GHG emissions report calculated using published emission factors and the GHG Protocol Corporate Standard methodology.
The Service is a calculation and reporting tool. It is not an audit, assurance, verification, certification, or advisory service.
4. Your responsibility for the data
This section is important. The accuracy of any report depends on you.
- You are responsible for the accuracy of the data you confirm. Automated extraction may misread a document. Every extracted value is presented to you for review, and no report is generated until you confirm it. By confirming, you accept responsibility for the values used.
- You are responsible for completeness. Tracido can only report on documents you provide. If you omit a facility, a fuel type, or a billing period, your report will be incomplete, and we have no way to know that.
- You are responsible for determining whether a report meets your purpose. If a bank, customer, regulator, or procurement body has specific requirements, it is your responsibility to confirm the report satisfies them. We make no representation that any report will be accepted by any third party.
5. Nature of reports — no verification, no professional advice
Reports produced by Tracido are management-prepared inventories. They are not independently verified, audited, or assured by Tracido or by any third party. Reports state this on their face.
Tracido does not provide accounting, auditing, legal, tax, regulatory, engineering, or environmental consulting advice. Nothing in the Service or in any report constitutes professional advice or creates a professional relationship. You should obtain independent professional advice before relying on a report for any regulatory filing, financial disclosure, contractual commitment, or public claim.
6. Emission factors and methodology
Tracido calculates emissions using published emission factors, including factors published by Environment and Climate Change Canada, and global warming potentials as published in applicable Canadian legislation. Reports disclose the factor used, its source, and the derivation for each line item.
We take care to source factors accurately and to record their provenance. However:
- published factors are periodically updated, and the applicable factor may depend on the reporting period and jurisdiction;
- where a source, unit, or fuel type has no published factor available to us, it is excluded from totals and disclosed as an exclusion rather than estimated;
- where a unit conversion is applied, the conversion factor and its source are disclosed on the report;
- where a bill prints both a metered figure and a supplier-adjusted figure, the Service uses the figure appropriate to the fuel and discloses which was used.
We do not warrant that any factor, conversion, or methodology is appropriate for your particular purpose, jurisdiction, or reporting framework.
7. Accounts
You must provide accurate information when creating an account and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@tracido.com if you believe your account has been compromised.
You must be at least the age of majority in your province or territory to use the Service.
8. Plans, pricing and payment
The Service is offered on the following basis. Current plans and prices are shown at tracido.com/pricing and may change:
- a free tier, which includes one complete report;
- a one-time report purchase, bought before each additional report;
- subscription plans (Starter and Pro), billed monthly or annually, which include a set number of reports and facilities.
All prices are in Canadian dollars. Applicable taxes are added at checkout.
Payment processing. Payments are processed by Stripe. Depending on the payment configuration in effect, Stripe may act as merchant of record for your purchase, in which case Stripe is responsible for collecting and remitting applicable sales taxes. Your card statement may show a descriptor that includes a payment processor's name alongside "Tracido". We do not receive or store your full payment card details.
Subscriptions renew automatically at the then-current price until cancelled. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current billing period.
Plan limits. Subscription plans include usage limits. Where you reach a limit, you will be offered the option to upgrade or purchase an additional report. We may enforce these limits.
No double charging. If a report is already included in your subscription, you will not be charged separately for it. If you purchase a report and a subscription subsequently covers it, we will refund the purchase. If you believe this applies and you have not received a refund, email us.
9. Refunds
Refunds are governed by our Refund Policy, which forms part of these Terms.
10. Your finalized reports
Reports you were entitled to generate remain accessible to you after they are finalized, including after a subscription ends, for as long as your account remains open and the Service continues to operate.
Finalized reports are immutable — they cannot be edited after generation. Corrections are made by issuing a restatement, which creates a new report and preserves the original.
We recommend you download and retain your own copy of any report you rely on.
11. Acceptable use
You agree not to:
- upload documents you do not have the right to upload;
- upload malicious code, or attempt to gain unauthorized access to the Service, other accounts, or our infrastructure;
- use the Service to produce reports you know to be false or misleading, or to make unsupported environmental claims;
- resell, sublicense, or white-label the Service without our written permission;
- scrape, reverse engineer, or attempt to extract our emission factor data or methodology for a competing product;
- use the Service in a way that violates applicable law.
We may suspend or terminate accounts that breach this section.
12. Your data and content
You own your data. You retain all rights in the documents you upload and the data you enter.
You grant us a limited, non-exclusive licence to host, store, process, and transmit your content solely to provide the Service to you — including transmitting documents to third-party service providers for automated data extraction, as described in our Privacy Policy.
We do not sell your data. We do not permit your uploaded documents to be used to train artificial intelligence models (see our Privacy Policy for the specifics and their scope).
13. Our intellectual property
The Service, including its software, interface, report templates, and documentation, is owned by Tracido and protected by intellectual property laws. These Terms grant you a limited, revocable, non-transferable right to use the Service in accordance with your plan. No other rights are granted.
Reports you generate, and the underlying data, are yours to use.
14. Availability
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. We will make reasonable efforts to give notice of material changes or discontinuation of the Service.
15. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that the Service will meet your requirements, that reports will be accepted by any third party, or that results obtained will be accurate or reliable for any particular purpose.
Nothing in these Terms limits any rights you may have under applicable consumer protection legislation that cannot lawfully be excluded.
16. Limitation of liability
To the maximum extent permitted by law:
- we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunity, goodwill, or reputation, arising out of or relating to the Service, even if advised of the possibility;
- our total aggregate liability arising out of or relating to the Service, on any basis, is limited to the greater of (a) the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) CAD $100.
This limitation applies regardless of the theory of liability and survives termination.
17. Indemnity
You agree to indemnify and hold harmless Tracido and its operator from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the Service, your content, your breach of these Terms, or any third party's reliance on a report you produced or distributed.
18. Termination
You may stop using the Service and close your account at any time.
We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends. We will make reasonable efforts to allow you to export your reports before access is removed, except where immediate termination is necessary.
19. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product notice before they take effect. Continued use after the effective date constitutes acceptance. The current version is always posted at tracido.com/terms.
20. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict of laws rules. You and we agree to the exclusive jurisdiction of the courts of Ontario, subject to any non-waivable rights you have under consumer protection legislation in your own province or territory.
21. General
If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a sale or reorganization of the business. These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between us regarding the Service.
22. Language
The parties have requested that these Terms, and all related documents, be drawn up in English. Les parties ont demandé que la présente convention et tous les documents s'y rattachant soient rédigés en anglais.
